Whether you’re engaging with us through a complimentary or paid arrangement, these Terms govern our working relationship and your use of any deliverables or tools provided.

• Development Hours — Blocks of pre-paid or complimentary service time.
  
• Complimentary Services — Services provided at no cost.
  
• Paid Services — Services purchased by the client.
  
• Affiliate Link — A unique link that may generate a commission for us.
  
• Inactive Account — An account with failed or lapsed payment activity.

2. Complimentary Services & Affiliate Participation

At our discretion, we may offer free website development or setup services. To receive these, you may be required to sign up for third-party hosting using a designated affiliate link. This affiliate link may provide us with a commission, as permitted by FTC guidelines.

We may suspend or revoke free services if:

• You cancel or switch your third-party hosting in a way that voids our affiliate commission.
• You fail to meet conditions tied to the complimentary offer.

3. Ownership & Intellectual Property

You will own the website and all assets we custom-build for you under this Agreement once the project is completed and all conditions (e.g., affiliate use, required steps) are met.

We retain full rights to:

• Any proprietary tools, systems, or templates used internally.
• Reusable components not custom-developed for you.
  

You agree not to replicate, reverse-engineer, or mimic our business model, designs, or branded material in a way that could mislead users, cause confusion, or constitute unfair competition.

4. Data Responsibility & Security

You are solely responsible for managing and securing all data tied to your systems, including:

• Login credentials
• Hosting and domain access
• Emails and analytics
• Customer or user data
  

While we implement reasonable precautions, we do not guarantee immunity from breaches, hacking, data loss, or cyberattacks. You are responsible for data backups and should maintain your own recovery processes.

We are not liable for damages or losses resulting from:

• Website compromises
• Hosting provider failures
• Plugin vulnerabilities
• Third-party software issues

4A. Service Disruption Notice

Development work—especially website setup or migration—may involve changes that result in temporary disruptions, including:

• Website downtime
• Email delivery failures
• Broken links
• DNS propagation delays
• Missing content during migration
  

We are not responsible for business losses, missed leads, or reputation damage stemming from such events. It is your responsibility to prepare stakeholders and ensure backups and continuity plans are in place.

5. Limitation of Liability

To the fullest extent permitted by law, Free Blackspace and its affiliates shall not be liable for any:

• Lost profits or revenue
• Lost or corrupted data
• Service interruption or downtime
• Missed business opportunities
• Personal or reputational harm
• Marketing or advertising impact

We are also not liable for failures caused by:

• Hosting providers
  DNS or domain registrars
• Plugin/theme vendors
• Third-party platforms
• Force majeure (see below)
  

Maximum liability under this Agreement is limited to ₹20,000 INR or $250 USD, regardless of the nature of the claim.

6. Use of Client Work for Portfolio & Promotion

By engaging with Free Blackspace, you grant us a non-exclusive, royalty-free, perpetual license to use your brand name, project description, website screenshots, testimonials, and related materials in our portfolio, case studies, social media, and marketing content.

If you do not wish to be featured, simply email legal@blackspace.in and we’ll honor your request within 30 days. This usage license remains valid even after termination unless you explicitly revoke it in writing.

7. Confidentiality & Non-Disclosure

Throughout the course of our engagement, you may gain access to confidential, proprietary, or strategic information belonging to Free Blackspace. This includes, but is not limited to:

• Standard operating procedures (SOPs), scripts, or internal workflows
  
• Pricing, affiliate relationships, or marketing strategies
  
• Reusable templates, automation, or internal tools
  
• Third-party service details
  
• Client lists, campaigns, or contact data
  
• Private URLs, unpublished assets, or platform configurations
  

You agree to:

• Keep all Confidential Information private
  
• Only use it to work with Free Blackspace
  
• Protect it with reasonable safeguards (similar to how you protect your own confidential information)
  
• Notify us immediately if any breach or unauthorized access occurs
  

This obligation continues indefinitely, even after our business relationship ends. Any misuse or unauthorized disclosure could result in legal action, including injunctions or damages.

8. Disclaimer of Warranties

All services, websites, software, themes, plugins, and advice provided by Free Blackspace are offered strictly “as-is” and “as available”—without guarantees or warranties of any kind.

We expressly disclaim any warranties of:

• Merchantability or fitness for a specific purpose
• Compatibility with all browsers, devices, systems, or hosting setups
• Continuous or uninterrupted performance
• Future-proofing against updates to plugins, browsers, or APIs
• Achieving any specific business goals (traffic, SEO rankings, revenue, etc.)
  

We do not guarantee:

• That your website will always stay online or error-free
• That email routing, DNS settings, or third-party configurations will be accurate or stable
• That any specific performance, ranking, or marketing results will be achieved
• That deliverables will remain compatible with future platform or browser updates

You are solely responsible for ensuring your website meets accessibility standards (e.g., ADA/WCAG) or legal compliance relevant to your region or industry.

9. Indemnification

You agree to indemnify, defend, and hold harmless Free Blackspace, its team, affiliates, and contractors from any claims, losses, or legal expenses arising from:

• Your breach of these Terms
• Your misuse of our services or deliverables
• Any content or materials you provided (including copyright issues)
• Legal violations (privacy laws, advertising standards, etc.)
• Disputes with your own clients or service providers
• Technical or operational issues you requested that led to problems (e.g., DNS changes)
• Any third-party confusion or claims caused by your website or actions

We reserve the right to take control of the defense and require your cooperation if such a situation arises. This indemnity clause remains active even after this Agreement ends.

10. Subscription Plans, Billing, Cancellation & Chargebacks

Billing

If you are enrolled in any subscription or paid plan, charges will occur on the same day of each billing cycle (monthly or annually). If the date doesn’t exist in a given month (e.g., Feb 29), the charge will process on the next available business day.

By using a payment method, you authorize us to charge all related fees and applicable taxes automatically.

Cancellations

You may cancel your subscription by writing to legal@blackspace.in before your next billing date.

Cancellations during free or discounted trial periods (e.g., ₹1 trials) will result in the forfeiture of any development hours or services included in the offer.

There are no refunds for unused time or early termination. If we choose to discontinue a service, we’ll notify you and either:

• Continue services until the billing cycle ends
• Or refund you for the unused portion on a pro-rated basis
  

Refund Policy

All sales and subscriptions are final. Refunds will only be provided if we stop offering the service during your billing period.

Inactive Accounts

If a payment fails, your account will be marked inactive. We will attempt to contact you using your email on file. If the issue isn’t resolved within 24 hours, all services will be suspended and any unused development hours or premium licenses may be revoked without notice.

Disputes & Chargebacks

You agree to contact us in good faith before initiating any payment dispute or chargeback. A chargeback without prior communication is considered a breach of this Agreement.

In such cases, we reserve the right to:

• Immediately terminate services
• Revoke access to all deliverables, licenses, and hosting tools
• Recover fees and damages through legal or third-party collection channels
  

Dispute Time Limit

You must raise any billing disputes within 48 hours of the charge by contacting us at legal@blackspace.in. After this window, charges are deemed accepted. This does not limit your statutory rights, but it reflects your obligation to promptly review and confirm all transactions.

Price Changes

We may change subscription pricing with 30 days’ prior notice via email. Your continued use of our services after the new pricing goes into effect will be deemed acceptance.

11. Access to Premium Themes and Plugins

License Access via Free Blackspace

At our discretion, Free Blackspace may provide access to premium themes, tools, or plugins (such as Divi, Qi, TranslatePress, etc.) through our agency licenses. These are made available only under the following conditions:

• Your account is active and in good standing;
• Free Blackspace continues to maintain a valid agency license with the respective third-party provider.
  

Important: You do not receive an individual license or ownership of these tools. Access is provided solely through our agency framework and may be revoked at any time.

Third-Party Service Changes

If a plugin/theme provider ends its agency program or changes its licensing terms—or if we lose access for any reason—your access may be suspended or terminated. We’ll make reasonable efforts to offer an alternative solution, but we cannot guarantee replacements.

12. Client Responsibilities & Data Accuracy

You agree to provide complete, accurate, and up-to-date information during onboarding and throughout our engagement. This includes, but is not limited to:

• Account registration and contact details
• Billing information
• Content materials (logos, images, copy)
• Access credentials for third-party services (when applicable)
  

You confirm that:

• All shared content and data is truthful and lawfully owned or licensed;
  
• You have legal authority to submit content on behalf of your business;
  
• No submitted materials violate third-party rights or copyright laws.
  

Your Role in Project Timelines

You acknowledge that the timeliness and quality of our work depends on your cooperation. Delays or errors caused by incomplete, incorrect, or late submissions may impact project outcomes.

Free Blackspace reserves the right to suspend or terminate services—without refund— if we discover false, misleading, or fraudulent information, or if reasonable collaboration is not maintained.

13. Prohibited Uses

You agree not to use Free Blackspace services, website, or deliverables for any of the following:

(a) Unlawful activities or to promote illegal behavior

(b) Violating any applicable local or international laws or regulations

(c) Infringing on intellectual property rights of Free Blackspace or others

(d) Impersonation or misrepresentation of identity

(e) Harassment, defamation, abuse, or threats toward others

(f) Submitting false, misleading, or fraudulent information

(g) Distributing malware, spyware, or malicious code

(h) Scraping data, crawling our systems, or using automation without permission

(i) Reverse-engineering our software, systems, or business model

(j) Circumventing security features or access controls

(k) Attempting unauthorized access to accounts, servers, or databases

Violations may lead to immediate suspension or termination of your account, legal action, and/or referral to law enforcement, without any obligation to refund.

14. Force Majeure

Free Blackspace shall not be held responsible for failures or delays resulting from events outside of our control. These may include, but are not limited to:

• Natural disasters, pandemics, wars, or civil unrest
  
• Power or internet outages
  
• Cyberattacks or platform outages
  
• Government actions, labor shortages, or supply chain failures
  

In such cases, timelines may be extended, or services paused without liability.

15. Severability

If any portion of this Agreement is found to be invalid or unenforceable, that clause will be severed without affecting the remaining provisions. The rest of the Agreement will remain in full force and effect.

16. Modifications & Assignment

Modifications

We may revise these Terms at any time by updating the version published at https://free.blackspace.in/terms. For major updates, we may notify you via email or website notice. Continued use of our services constitutes your acceptance of the revised Terms.

Assignment

Free Blackspace may assign this Agreement to any successor, acquirer, or affiliate without prior notice. You may not assign your rights or responsibilities without our written consent.

17. Governing Law & Jurisdiction

This Agreement is governed by the laws of India, with jurisdiction falling under the courts of Bengaluru, Karnataka.

All claims or disputes must be brought within one (1) year of arising or be permanently barred.

Language

These Terms are written in English, which will be the controlling language in all interpretations.

Groundless Claims & Legal Fees

If you file a claim or action that is dismissed as frivolous, groundless, or in bad faith, you agree to reimburse Free Blackspace for any legal fees and court costs incurred.

18. Electronic Signature

This Agreement may be accepted electronically. Your continued use of our website or services, submission of onboarding forms, or clicking “I Agree” on relevant checkboxes shall be considered legally binding, as per the E-SIGN Act, UETA, and applicable Indian electronic transaction laws.

19. Termination

19.1 Termination by Client

You may terminate this Agreement at any time by sending a written notice to legal@blackspace.in. Termination becomes effective on the date we acknowledge receipt of your notice, or on a mutually agreed future date.

19.2 Termination, Suspension, or Refusal of Service by Free Blackspace

Free Blackspace reserves the right, at its sole discretion and without prior notice, to:

• Suspend, restrict, or disable any part of our services
  
• Terminate this Agreement in whole or in part
  
• Decline any current or future service request
  

Immediate termination or suspension may occur if:

• You breach any of these Terms
  
• You initiate or threaten a chargeback or payment dispute
  
• You engage in abusive, fraudulent, harassing, or defamatory behavior toward our team or partners
  
• You provide false, misleading, or incomplete information
  
• You violate applicable laws or attempt to misuse our services for illegal purposes
  
• Your account remains Inactive and unpaid for more than 24 hours (as defined in Section 10)
  

19.3 Effect of Termination

Upon any termination (whether initiated by you or Free Blackspace):

• Immediate Termination of Access: All access to our services, tools, accounts, and licensed plugins/themes will end immediately.
  
• Forfeiture of Credits: Any unused development hours, service credits, or discounts will be forfeited and will not roll over or be refunded.
  
• No Data-Retention Guarantee: We have no obligation to store, migrate, or archive your website or data. All project-related materials may be deleted 30 days after termination.
  
• Outstanding Fees Remain Due: You are still responsible for any fees, balances, or collection costs accrued before termination.
  
• No Refunds: Payments made before termination are non-refundable.
  
• Survival of Clauses: Certain provisions of this Agreement will remain in effect (see Section 20).

21. Entire Agreement & No Reliance

This Agreement, along with our Privacy Policy, forms the entire agreement between you and Free Blackspace. It supersedes any prior discussions, proposals, or informal understandings—verbal or written. You acknowledge that you are not relying on any promises not explicitly stated herein.

22. Non-Solicitation

For the duration of this Agreement and for twelve (12) months after its end, you agree not to solicit or hire any Free Blackspace employee, contractor, or subcontractor without our prior written consent.

23. Export & Sanctions Compliance

By using our services, you confirm that you are not located in a country subject to export restrictions or sanctions under Indian, U.S., or international law. You agree not to use Free Blackspace’s services in any way that violates export-control regulations.

24. Independent Contractor Status

Nothing in this Agreement shall be interpreted as creating a partnership, joint venture, employment, or agency relationship. Free Blackspace acts solely as an independent contractor.

25. No SLA or Uptime Guarantee

Unless a separate written Service Level Agreement (SLA) is signed, Free Blackspace provides no guaranteed uptime or service availability.

26. Affiliate Disclosure
